Reporting to the Senior Corporate Counsel, this position is responsible for preparation and administration of legal documentation relating to franchise agreements, operating agreements, corporate buybacks, and renovation agreements. Other documentation can include items relating to leases or purchase of properties, franchises and operating agreements. The person in this role is responsible for compiling all information with respect thereto and ensuring follow-up thereon to ensure the timely and smooth closing of all transactions.

 

Qualifications:

  • Minimum 2 - 5 years law firm or legal department experience.
  • Strong computer skills. (Outlook, Word, Excel, PowerPoint)
  • Effective organizational and communication skills.
  • Strong independent work ethic and a high level of initiative, requiring minimal supervision.
  • Ability to work in a fast-paced and dynamic environment.
  • Demonstrated time management skills, deadline oriented.
  • Bilingual in French and English, both spoken and written. 

Key Responsibilities: 

  • Corresponds with internal personnel, franchisees, lawyers, accountants, lenders to obtain relevant information to complete franchise documentation.
  • Prepares franchise documents for franchise transactions, including new store opening, re-sales and buy-backs of existing stores, and franchisee reorganizations.
  • Coordinates effective communication with franchisees to ensure that franchise transactions are completed within specified deadlines.
  • Administers franchise transactions, organizes franchise files, and prepares post-closing documentation (including income-expense forms) for distribution to other departments.
  • Prepares and administers the filing of RDPRM registrations.
  • Prepares legal documentation, from draft to final execution, for all legal real estate and franchise transactions, including the transcription of dictated correspondence / documentation.
  • Ensures efficient tracking and follow-up of documentation in process and correspond with outside counsel, landlords, vendors and in-house personnel to ensure timely execution of documents.
  • Liaises/coordinates with construction, planning and property management departments to assist in obtaining information and schedules for real estate transactions.
  • Provides administrative support such as answering the phone, handling office mail, photocopying, coordinating meetings, ordering supplies, distributing incoming faxes and preparing new files. 
  • Creates, copies, files and organizes materials, effective correspondence, precedents, letters, contracts, and agreements.
  • Assists with process for updating franchise disclosure documents.
  • Prepares and coordinates correspondence, courier shipments and faxes.
  • All other duties as assigned.
