TMX Group - General Counsel's Office

The mandate of the General Counsel’s Office (GCO) is to provide leadership and high quality legal support to the organization. Key areas of responsibility include:

  • Corporate Secretariat: the GCO is responsible for advising on corporate governance matters, and for organizing meetings of the Board of Directors, including the distribution of Board materials, and the preparation of agenda and minutes. The GCO also manages the distribution of information to shareholders, and organizes the annual general meeting of shareholders.
  • Legal Advice: the GCO provides legal advice to TMX Group and to its subsidiaries with respect to business initiatives and on-going operations. The GCO drafts, reviews and negotiates contracts, manages intellectual property assets, and represents the interests of the organization with respect to all legal matters.
  • Regulatory Affairs: the GCO guides the adoption and implementation of trading policies, rules and regulations in order to improve market quality, fairness, and investor confidence, and to ensure compliance with applicable securities laws. This team provides legal support to the Board and to staff regarding protocols and agreements with securities regulatory authorities, and prepare public communications on regulatory matters.
