This is a temporary position filing in for a maternity leave (12 months). As a Legal Counsel, you are an adaptable, proactive individual with a strong willingness to learn who enjoys working in a fast-paced start-up environment. Under the general direction of the VP Operations & General Counsel, the Legal Counsel’s primary roles are to: (i) work closely with the investment and program team to conduct due diligence for, structure, negotiate, and execute funding arrangements (grants, loans, convertible debt, royalty-based financings, and investments) with innovators in Canada and low- and middle-income countries (LMICs), (ii) manage the implementation of Grand Challenges Canada’s Global Access and Data Access policies, including through innovative ‘global access agreements’ concerning the management of intellectual property and/or product distribution, (iii) be responsible for advising on, and ensuring ongoing compliance with, a range of Grand Challenges Canada funder requirements and policies, (vi) oversee all commercial contracting needs of the organization, (iv) advise with respect to a range of legal and other issues as they arise, including for example considerations and compliance issues applicable to charities and non-profits, corporate governance matters, risk management, confidentiality issues, and investment decisions.

Key responsibilities include:
• Providing sound, ethical and creative legal advice to Grand Challenges Canada
• In collaboration with the Grand Challenges Canada’s investment and program teams, conducting due diligence, structuring, and negotiating funding agreements with innovators
• Ensuring compliance with legal and regulatory requirements as well as Grand Challenges Canada’s funder requirements and policies
• Drafting language for grant, loan, license, security and other agreements
• Overseeing and mentoring to Grand Challenges Canada’s articling student
• Taking leadership responsibility for Grand Challenges Canada’s approach to Global Access and Data Access (see polices here:
• In collaboration with the Grand Challenges Canada’s investment and program teams, addressing post-deal execution legal and other issues that may arise
• Interacting with external counsel – both local and international (including budget management)
• Interacting with partners as it relates to pre and post-deal execution and Global Access – both local and international
• Assisting senior management with corporate legal and governance items on an as needs basis
• Supporting quality improvement and streamlining processes cross-departmentally as it relates to pre-deal and post-deal execution

Leadership and Communication
The Legal Counsel will lead self and peers by conduct and example. S/he may contribute toward development of guidelines, procedures and standards within the scope of the role. S/he interacts with both internal and external contacts primarily for the purposes of exchanging and/or clarifying information, providing legal advice to the organization (internally) and resolving problems within scope of authority. S/he works well with people from different disciplines and cultures, and demonstrates excellent competency in written and verbal skills.

• At minimum, completion of an LLB / JD and admission to practice law in Ontario
• At minimum four (4) years of experience practicing law, with a preference for at least two (2) of those years of experience in a corporate-commercial, transactional, and/or intellectual property-related practice area
• Experience with drafting and negotiating various commercial agreements such as loan agreements, security documents, license agreements, or product distribution agreements will be considered a very strong asset
• Demonstrated interest in global health and/or health innovation an asset
• Proactive, balancing planning and execution
• Demonstrated problem solving skills – a can-do attitude is a must!
• Excellent organizational and time management skills
• Highly developed interpersonal skills with demonstrated ability to work well independently and within a team
• Excellent verbal and written communications skills
