This is an exciting opportunity to join UHN as Legal Counsel – Clinical Research Agreements.

UHN is seeking a strategic and results-oriented Mid-level/Senior lawyer to join its Legal Affairs Department. Aligned with the UHN’s strategic research direction, the candidate will provide a full spectrum of legal services across the organization in respect of research-related activities, with an emphasis on clinical research activities. The Legal Counsel will support the Director, Research Legal in maintaining and monitoring UHN legal and contractual obligations associated with clinical and other research-related activities; providing expert legal advice and support to the Clinical Trial Agreements Office (CTAO) and other UHN stakeholders; performing commercial transactions/documentary review responsibilities for UHN Research Legal functions; performing legal research/education responsibilities; performing committee responsibilities; performing cross-functional and other responsibilities as assigned and/or requested. The Legal Counsel will also serve as a point of contact for UHN Research Managers, Directors and Senior Management on a variety of clinical research-related matters.

KEY RESPONSIBILITIES

  • Advises UHN stakeholders and management on clinical and other research-related legal matters – must possess knowledge of contract law, health law and (preferably) intellectual property law
  • Negotiates, drafts and reviews agreements for high risk or complex clinical and other research activities (e.g. clinical trial agreements, multi-site clinical consortium agreements, complex data-related agreements)
  • Provides expert legal assistance and guidance to the Clinical Trial Agreements Office (CTAO) through participation in the negotiation of, and provision of legal advice to, contract reviewers in respect of clinical trial and related agreements under CTAO management 
  • Identifies areas of potential legal and statutory risks, determines acceptable levels of risk, and makes recommendations to ensure management of risk in UHN clinical research contractual arrangements 
  • Provides advice in respect of clinical and other research-related matters (e.g. consent, privacy, PHI use, etc.)
  • Actively participates in the drafting and reviewing of policies and SOPs re. clinical and other research contract review, and for CTAO and other Research operations
  • Stays abreast of legislative developments and clinical research practices to ensure statutory/regulatory compliance 
  • Implements processes to optimize UHN contracting activities
  • Conducts fact-finding and legal research on a variety of clinical and other research-related matters (e.g., insurance/liability, conflict of interest reviews)
  • Consults and/or engages with internal/external resources as required to complete tasks (including external counsel, professional regulatory bodies, other UHN Legal Affairs colleagues, UHN internal departments (e.g. REB, StRIDe/Grants office, TDC, Research Ethics Board, Medical Affairs, Privacy/Compliance, Finance, etc.) 
  • Identifies and reports relevant findings to appropriate managerial staff 
  • Provides in-service training to staff on relevant and changing legal and regulatory matters
  • Supervises law students 
  • Participates in committee meetings as required

QUALIFICATIONS

  • At minimum a Bachelor’s Degree in Law or recognized equivalent required
  •  Demonstrated ability to interact positively and work cooperatively with colleagues, staff and effectively as part of a team
  •  Proven collaborative planning skills in a fast-paced environment
  •  Some Knowledge of hospital policies, procedures and protocols 
  • Some Knowledge of applicable legislation, regulations and guidelines pertaining to clinical research 
  • Fairness, openness, patience and a high level of integrity
  •  Excellent verbal and written communication skills required; ability to translate complex regulatory standards into material that can be understood by a diverse audience 
  • Excellent customer service, interpersonal and diplomacy skills
  •  Excellent organizational and time management skills required to handle competing priorities/deadlines 
  • Excellent analytical and problem-solving skills
  •  Eagerness to learn new areas and work with little supervision
  •  At minimum, two (2) to five (5) years of practical related experience
  •  Experience in a clinical or academic research environment strongly preferred; experience in a multi-site facility preferred 
  • Experience in developing and sustaining effective and collaborative professional working relationships and partnerships
  •  Experience with regulatory and legal research preferred
  •  Proficiency in the use and maintenance of computer database systems and data analytics preferred
  •  Member in good standing with the Law Society of Ontario
